These general terms and conditions (the “Terms and Conditions”) shall apply when you as a consumer (“You”) place an order through the Doodlespot application (the “App”), and associated webpages. An agreement is entered into between You and Nyper AB, company registration number 559110-7379, which is the owner and developer of the Doodlespot application. In these Terms and Conditions, “Doodlespot” is used to refer to Nyper AB. The Terms and Conditions shall only apply to You as a consumer who places orders via Doodlespot.
1.2
In order to place orders via Doodlespot, You must: (i) have reached the age of 18 or older as prescribed by applicable law and be of legal age in your home country or obtained the approval of a parent or guardian; and (ii) otherwise be entitled to enter into binding agreements and not be impeded from doing so under any applicable law. Doodlespot does not accept purchases on credit from persons who do not satisfy the above-stated requirements. All purchases made on Doodlespot take place through Doodlespot’s cooperation partner for payment solutions and are subject to their own terms and conditions of use as applied by the cooperation partner. Doodlespot reserves the right in individual cases to refuse or change the order (for example where You have given incorrect personal data and/or have a record of the non-payment).
1.3
Doodlespot bears no responsibility for products or services which are sold out and any image or clerical errors on Doodlespot, for example errors in any product description or technical specifications, incorrect prices and price adjustments (such as price changes from suppliers or changes in currency values) or incorrect information regarding whether a product is in stock. Doodlespot shall be entitled to correct such potential errors or update the information at any time. If an incorrect price has been stated for a product which You have ordered, Doodlespot will, naturally, notify You of such and await your approval of the corrected price before Doodlespot continues with the order. All information related to images on Doodlespot are provided solely for illustrative purposes. Such illustrations cannot guarantee the exact appearance of the product. Doodlespot shall not be responsible for information which is received from a third party.
1.4
Doodlespot, as well as all of its content, is owned by Doodlespot or its licensors. The information is, among other things, protected by intellectual property and marketing legislation. The foregoing means that the trade marks, business names, product names, images and graphics, designs, layouts and information regarding products, services and other content may not be copied or used without the written consent of Doodlespot.
2. AGREEMENT AND ORDERING
2.1
In order to make a purchase via Doodlespot, You must accept the terms and conditions of purchase. By accepting the terms and conditions of purchase, You undertake to comply with the terms and conditions of purchase in their entirety and acknowledge that You have read the information regarding personal data and consent to the use of personal data and cookies in accordance with Doodlespot’s Privacy Policy.
2.2
A purchase agreement shall not be entered into until after Doodlespot has confirmed your order and You have received an order confirmation via email from Doodlespot that the processing of your order has started. Doodlespot encourages You to save your order confirmation for any future contacts with Doodlespot’s Customer Service.
2.3
As a customer, You are solely responsible for any rights related to images You send in. Doodlespot reserves the right to reject images which violate applicable laws, regulations and rules.
3. CUSTOMER DATA, ETC.
3.1
When You place an order, You will be requested to provide certain personal data. You are personally responsible for the accuracy and completeness of the personal data You fill in. Information regarding Doodlespot’s processing of personal data are set forth in Doodlespot’s Privacy Policy which is a part of these terms and conditions.
4. PRICES, FEES AND PAYMENT
4.1
In connection with orders made on Doodlespot, the prices and the currency which are stated on Doodlespot shall apply. The prices are stated including sales tax (VAT) for customers located within the European Union.
If the customer is located outside of the territory of the European Union, the Customer is responsible for paying sales tax (VAT) as applicable within each jurisdiction. Doodlespot will not be held responsible for any such sale tax (VAT).
Customers outside of the European Union may be subjected to pay custom duties (as applicable within each jurisdiction). Doodlespot will not be held responsible for any such duties.
4.2
Doodlespot offers payment in cooperation with certain payment services via third parties. In certain cases, Doodlespot, or the third party which provides the method of payment, may conduct a credit check. Doodlespot reserves the right not to offer everyone the same method of payment, and the relevant method of payment shall be presented to You in connection with purchase.
5. CAMPAIGNS AND OFFERS
5.1
From time to time, Doodlespot may offer campaigns on Doodlespot which may be subject to more favourable terms and conditions of purchase than those stated in these terms and conditions of purchase. These more favourable terms and conditions of purchase shall apply provided that the campaign is active and for the specific products which are stated by Doodlespot in connection with the campaign. Doodlespot reserves the right to rescind such campaigns at any time. In the event of termination or rescission of a campaign, these terms and conditions of purchase shall apply unamended. The offer with respect to specific products on Doodlespot shall apply for a limited period and as long as the products are in stock.
6. DELIVERY AND TRANSPORT
6.1
Orders are normally delivered from our printing works and frame workshop, within the number of days stated on each product page on Doodlespot. Orders are sent when all products are ready for delivery. Thus, products with longer delivery times state the total delivery time for the order. Framing is not included when ordering frames.
6.2
Doodlespot does not provide partial delivery where one or more products in an order cannot be delivered. The products which can be delivered are sent and the goods which cannot be delivered are credited to the customer.
6.3
The expected delivery time of the product is stated on the relevant product page on Doodlespot. Unless otherwise separately agreed, and a delivery takes more than 30 business days and this fact is not attributable to the customer, you are entitled to cancel the purchase.
6.4
Doodlespot reserves the right to change the manner of transport in the event the chosen method of transport is not possible for the relevant order. In such case, no additional shipping costs shall be payable.
6.5
Where a package is to be retrieved, You must do so within the time stated in the notification to do so. The package must normally be collected personally using a valid ID and parcel number or order number. You will always receive a notification stating where and when the package is to be collected. Notification may be made via email, regular post and, where You have provided a mobile telephone number, also via telephone or SMS.
6.6
If You do not collect your order from agents within the time stated in the notification, Doodlespot shall be entitled to charge You an administrative fee in order to cover any return and handling costs.
6.7
The risk of possible damage to ordered products shall pass to You as a consumer after You have taken possession of the product (when You have collected the product from an agent or the order is delivered to You). Doodlespot shall not be liable for any risk related to transport, i.e. the risk related to a product being damaged or being lost during transport to You. Any damage during transport must be documented and notified to Doodlespot’s Customer Service within seven business days from receipt of the goods. Therefore, You are responsible for unpacking and inspecting the condition of the product immediately after receipt of the goods. Compensation for any damage product shall be provided in the form of redelivery. Compensation cannot be made where there is no background documentation for the damage.
7. RIGHT OF WITHDRAWAL AND SALE-OR-RETURN PURCHASES
7.1
Unless otherwise provided by legislation, Doodlespot does not offer a full right of withdrawal or sale-or-return purchases due to the fact that the service relates to products which are custom-made according to the consumer’s instructions or which have a distinctive personal character. In case of purchase of the supplementary products frame and hangers, you are entitled to return them for 14 days if the packaging is unbroken. Doodlespot does not account for any return shipping cost. You as a customer are responsible for ensuring that the product is packaged in such a way that no further damage can occur during transport.
8. WARRANTY AND RIGHT OF COMPLAINT
8.1
In addition to the right of complaint, Doodlespot provides a one-year warranty for its products. The warranty entails that a defect which arises in your product is presumed to have existed when the product was delivered. In other words, as a consumer You do not have to prove that the defect is original. A warranty for products only covers original manufacturing defects and, thus, does not extend to defects which arise in connection with or after a personal modification is made to the product’s function and appearance, wear and tear, abnormal use, neglect or any form of external effect, for example due to impact or water/fluid damage. Your order confirmation shall apply as a warranty certificate.
8.2
The right of complaint covers products which are defective pursuant to applicable consumer protection legislation. A customer who wishes to claim a defect in an ordered product must contact Doodlespot as soon as possible after the defect has been discovered via the contact information stated on Doodlespot. Complaints given within two months of discovery of the defect are always deemed to have been given in due time. You have a 3-year right of complaint with respect to products purchased on Doodlespot.
8.3
The right of complaint shall not apply in the event of incorrect background data provided by a customer such as incorrect placement/cropping of images, misspellings and low resolution. Deviations in colour production between screen and actual print do not constitute grounds for a right of complaint, unless the deviations are of a major character.
8.4
Doodlespot shall defray the costs of any return shipping in conjunction with any approved complaint. As a consumer, You are responsible for ensuring that the product is packaged in such a manner that further damage cannot arise during transport.
8.5
When an advertised product is returned, and the complaint approved, Doodlespot will compensate You in accordance with applicable consumer protection legislation. Doodlespot shall endeavour to do so within 14 days from Doodlespot’s receipt of the complaint, however it may take longer depending on the nature of the product. Doodlespot reserves the right to deny a complaint where it is found that the product is not defective pursuant to applicable legislation.
9. FORCE MAJEURE
9.1
Doodlespot shall not be liable for delays caused by circumstances beyond Doodlespot’s control such as general labour conflicts, extreme weather conditions, war, fire, lightning, terrorist attacks, changes in regulations of public authorities, technical problems, defects in electricity, telecommunications and data connections, or other communications, as well as defects or delays in service from subcontractors due to the above-stated circumstances. These circumstances shall constitute force majeure events which effect a release from damages and other sanctions. In the event that the circumstance continues for longer than two months, both You and Doodlespot shall be entitled to terminate the purchase with immediate effect.
10. AMENDMENT OF THE TERMS AND CONDITIONS
10.1
Doodlespot reserves the right to amend these Terms and Conditions at any time. All amendments to these Terms and Conditions will be published on Doodlespot.se and in the App. Information regarding when the terms and conditions were last updated shall be clearly stated in the terms and conditions. The user is obliged to keep abreast of any amendments to these terms and conditions.
11. SEVERABILITY
11.1
Where a competent court, public authority or arbitral tribunal finds that any provisions of these Terms and Conditions are invalid or unenforceable, the provision in question and all other provisions shall be applicable and enforceable to the extent permitted under applicable law. The provisions which are declared to be invalid or which are unenforceable will be replaced by relevant legal guidance and advice.
12. APPLICABLE LAW AND DISPUTES
12.1
Disputes shall initially be resolved through mutual agreement following discussions with Doodlespot’s Customer Service.
12.2
In the event a dispute cannot be resolved through mutual agreement with Doodlespot’s Customer Service, as a customer You can submit a complaint online via the EU Commission’s platform for the settlement of disputes, which You can find via the following link http://ec.europa.eu/consumers/odr. If You submit a complaint via this platform, your matter will automatically be forwarded to the appropriate national dispute resolution body.
The dispute resolution body will then contact us and attempt to resolve the dispute without court intervention. In connection with any disputes, Doodlespot shall comply with the decision by such dispute resolution body.
12.3
Disputes with respect to the interpretation or application of these Terms and Conditions shall be interpreted in accordance with Swedish law and adjudicated pursuant to section 12.2 above, or ultimately by a court of general jurisdiction.
